Terms and conditions

These terms explain what you can expect from Milenia and what we expect from you when your organization uses our software. Please read them before you create an account.

1. About these terms

These terms and conditions apply to every account, subscription and use of Milenia, the software as a service for tracking membership contributions ('the Service'). The Service is provided by Wibs Digital, which offers it under the name Milenia ('Milenia', 'we', 'us'), to organizations such as associations, foundations, clubs and mosques ('the Customer', 'you').

Wibs Digital is established at Oder 20 Unit G7770, 2491 DC Den Haag, The Netherlands. It is registered with the Dutch Chamber of Commerce (KVK) under number 62769960 and its VAT number is NL002443037B21.

By creating an account, or by using the Service, you confirm that you are authorized to accept these terms on behalf of the organization, and that the organization accepts them.

2. The Service

Milenia helps you record membership contributions, read bank statements, link payments to members, follow who has paid through which month, and give members a portal to see their own status. The Service is provided over the internet and you use it through a web browser.

We keep improving the Service. We may add, change or remove features, provided that we do not materially reduce the core functions you subscribed to without reasonable notice.

3. Accounts and access

When you create an account you give us accurate and complete details about your organization and a contact person, and you keep them up to date. The first user of an organization becomes its administrator.

You are responsible for everything that happens under your organization's account, including the users you add and the role you give each of them. Keep passwords and pin codes confidential, do not share one login between several people, and tell us without delay if you suspect that someone else has gained access.

  • One account belongs to one organization.
  • Roles decide who can see and who can change what. Give people only the access they need.
  • We may ask you to confirm your identity or your organization's details before we activate or restore access.

4. Your responsibilities and acceptable use

You use the Service lawfully and in line with these terms. In particular you will not:

  • upload or process data that you have no right to use, or that is unlawful;
  • try to break, probe or overload the Service or its security, or use it to attack others;
  • copy, resell, sublicense or reverse engineer the Service, except where the law allows it;
  • use the Service in a way that harms other customers or their members;
  • give members or other people access to data they are not entitled to see.

5. Your data and data protection

Your data stays yours. That includes the member records, bank statements and other information you put into the Service ('Customer Data'). We only use Customer Data to provide the Service to you, and as these terms and our privacy policy describe.

For personal data in Customer Data, your organization is the data controller and Milenia acts as the data processor. You make sure you have a lawful basis for the data you enter and that your members are properly informed. Where the law requires a data processing agreement, these terms together with our privacy policy serve as that agreement, and we will sign a separate one on request.

Our privacy policy explains what personal data we process, why, and which rights people have.

6. Third-party services

Parts of the Service rely on other providers, for example for online payments, e-mail and message delivery, hosting and the automatic reading of statements. When you switch on a connection to such a provider, its own terms also apply between you and that provider.

We choose these providers with care, but we are not responsible for services that are not ours.

7. Fees and payment

The fee follows the size of your organization and the billing period you choose, as shown on the pricing page when you subscribe. Fees are per member, per month, and exclude VAT unless we say otherwise.

We invoice monthly or annually, according to your choice, and you pay by the due date stated on the invoice. If a payment is late, we may suspend access after a reminder. We may change our prices with at least 30 days' notice before the next billing period; a change never affects a period that has already been paid.

Transaction fees charged by banks, online payment providers or other third-party payment processors are not included in our fee. This applies both to payments your members make through the Service and to payments you make to us. These fees are paid by your organization, separately from our fee.

8. Availability, support and changes

We work to keep the Service available and secure, but we cannot promise that it will always be uninterrupted or free of errors. We announce planned maintenance in advance where we reasonably can.

We give support by the channels published on our website, during normal business hours.

9. Intellectual property

Milenia, its software, design and documentation belong to us or our licensors. You receive a limited, non-exclusive, non-transferable right to use the Service for your own organization for as long as your subscription lasts.

We receive no ownership of Customer Data. You allow us to process it as far as needed to provide the Service.

10. Liability

We are liable for damage that you suffer as a direct result of an attributable failure by us, up to the amount you paid for the Service in the twelve months before the event, with a maximum of the fees for that period. We are not liable for indirect damage, such as lost income, lost savings or damage caused by a mistake in data you entered.

Nothing in these terms limits liability that cannot be limited by law, such as liability for intent or deliberate recklessness. You remain responsible for checking that the payments matched and the totals shown fit your own records.

11. Suspension, termination and your data afterwards

Your subscription, whether on our standard terms or under a custom contract, runs for the period you agreed. To end it, give us at least one month's notice before the end of that period. Without that notice, it renews automatically for the same period. If we make significant changes to the Service or its pricing, we will offer you a new contract in advance instead of renewing the current one automatically.

When your subscription ends, you can ask us to close the account. We may suspend or end access if you seriously breach these terms, and we will tell you why unless the law forbids it.

After termination you can export your data for a reasonable period. After that we delete or anonymize Customer Data, unless the law requires us to keep something for longer.

12. Changes to these terms

We may update these terms, for instance when the Service or the law changes. We tell you about material changes before they apply, by e-mail or in the Service. If you keep using the Service after the change takes effect, the new terms apply to you.

13. Governing law and contact

Dutch law applies to these terms. Disputes go to the competent court in the Netherlands, unless mandatory law says otherwise.
